Terms And Conditions For Website Quick Start Package
By ordering the Website Quick Start package, you agree to the following terms and conditions. You are the Client and Effexis is the Provider.
Any additional work the Client wishes Provider to perform, which is not specified in the package description, will be considered an additional and separate service. Such work shall require a separate Agreement and payment separate from and above that specified for this package.
Independent Parties. Provider shall provide the Services under the general direction of Client, but Provider shall determine, in Provider’s sole discretion, the manner and means by which the Services are accomplished. This Agreement does not create a partnership or joint venture between the parties and neither party is authorized to act as agent or bind the other party except as expressly stated in this Agreement.
All rights, if any, granted to Client are contractual in nature and are wholly defined by the express written agreement of the parties and the various terms and conditions of this Agreement.
WARRANTIES AND REPRESENTATIONS
Provider hereby represents, warrants and covenants to Client that Provider will provide the Services identified in this package in a professional manner and in accordance with all reasonable professional standards for such services.
EXCEPT FOR THE EXPRESS REPRESENTATIONS AND WARRANTIES STATED IN THIS AGREEMENT, PROVIDER MAKES NO WARRANTIES WHATSOEVER. PROVIDER EXPLICITLY DISCLAIMS ANY OTHER WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE OR COMPLIANCE WITH LAWS OR GOVERNMENT RULES OR REGULATIONS APPLICABLE TO THE PACKAGE.
INDEMNIFICATION/LIABILITY
Client agrees to indemnify, save and hold harmless Provider from any and all damages, liabilities, costs, losses or expenses arising out of any claim, demand, or action by a third party arising out of any breach of Client’s responsibilities or obligations, representations or warranties under this Agreement.
Limitation of Liability. THE SERVICES AND THE WORK PRODUCT OF PROVIDER ARE SOLD “AS IS.” IN ALL CIRCUMSTANCES, THE MAXIMUM LIABILITY OF PROVIDER, ITS DIRECTORS, OFFICERS, EMPLOYEES, DESIGN AGENTS AND AFFILIATES (“PROVIDER PARTIES”), TO CLIENT FOR DAMAGES FOR ANY AND ALL CAUSES WHATSOEVER, AND CLIENT’S MAXIMUM REMEDY, REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT OR OTHERWISE, SHALL BE LIMITED TO THE NET PROFIT OF PROVIDER. IN NO EVENT SHALL PROVIDER BE LIABLE FOR ANY LOST DATA OR CONTENT, LOST PROFITS, BUSINESS INTERRUPTION OR FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THE MATERIALS OR THE SERVICES PROVIDED BY PROVIDER, EVEN IF PROVIDER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND NOTWITHSTANDING THE FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY.
Warranty Period. “Support Services” means commercially reasonable technical support and assistance to maintain and update the Deliverables, including correcting any errors or Deficiencies, but shall not include the development of enhancements to the Project or other services outside the scope of the Agreement. During the first 30 days following delivery of website (“Warranty Period”), if any, Provider shall provide up to one (1) hour of Support Services at no additional cost to Client.
No other Support Services are provided as part of this package.
